License & Copyright Agreement

When you purchase a Music Package from Audio Brothers you do not need to conclude a separate license agreement to use this package, this one will do and can be found in your download - send to you by e-mail after payment. You need this license agreement because the content of the package is the property and copyright of Audio Brothers. This prevents you from, for example, reselling the package without restriction, sub-licensing it, or claiming in any way that it is your property or copyright. With this license agreement you only get the user right to use the content of the package for private or professional use. This user right is non-exclusive (because we can also sell the package to others), applies to the whole world (as a territory) and for an indefinite period of time. You can read more details below. Client

This is a License & Copyright Agreement between Audio Brothers and you, or the employer on whose behalf you are entering this agreement (“Client”). By purchasing a Music Package from. Audio Brothers, you agree to be bound by the following terms and conditions.

Music Package

A Music Package are certain copyright protected, composed, recorded and produced music compositions bundled in a downloadable package, available for purchase from Audio Brothers.

Title Names

The Music Package also contains Title Names, which (if applicable) are necessary when reporting the use of the Music Package to the/your appropriate Performing Rights Society (PRS). These Title Names are the files names of each individual music composition/file.

Copyright

By buying this Music Package, Client hereby acknowledge that Audio Brothers is and remains the sole owner of all right, title and interest in the Music Package, including without limitation any copyrights therein. The Music Package is protected by and subject to Dutch and international copyright laws. This license is non- exclusive and Audio Brothers retains the right to sell the Music Package to third parties at its sole discretion. Client may not claim to be the creator or copyright holder of the Music Package or of any derivative work created from the Music Package.

License

By purchasing a Music Package, Audio Brothers grants Client the limited, non-exclusive, non-transferable, worldwide limited right and license, in perpetuity to use the Music Package in accordance with the terms and conditions of this License Agreement.

Use

This license allows Client to use the Music Package in multiple projects: Radio, TV (broadcast, cable, on-demand)Radio, Out of Home (digital boards, etc), Film, Video or Theatre production, Point-of-sale systems, In-store displays (stores, shopping malls, showroom videos, etc.). Trade shows, industrial fairs and exhibitions.

Limitations of Use

Client may not: Resell, transfer, sublicense, share, give away or otherwise assign the Music Package or the rights granted hereunder to any other party.

Client may not: Resell the Music Package by itself or as part of a package except solely as embodied within a personal of professional project.

Client may not: Resell the Music Package (or otherwise make it available) in any manner that would enable a third party to download the Music Package as a separate file, such as in e-card templates or website templates.

Client may not: Resell the Music Package (or otherwise make it available) as part of any competing product such as music compilation or music library.

Client may not: Resell the Music Package (or otherwise make it available) as, or as part of, its music or song, even if it has been transformed or edited, or other instruments or vocals to the music are added.

Report

Where applicable, Client shall report the use of the Music Package to their appropriate Performing Rights Society - using Composer details, IPI number (written below) and the Title Names (see first section), one time per year minimum, AND report it to Performing Rights Society Buma/Stemra in The Netherlands, and shall send a copy of this report one time per year, including an overview of any new composition based upon stems, elements or work parts from the Music Package to info@audiobrothers.com.

Limitation of Liability

Audio Brothers makes no warranty or representation, express or implied, except that it warrants that it has the right to grant the license granted hereunder. The total liability of Audio Brothers under this Agreement arising from Clients use of any Music Package shall be limited to the license fee paid by Client for such Music Package. Client hereby agree that this license is granted without any other warranty or recourse.

General Provisions

This Agreement shall be governed by and construed according to the laws of The Netherlands, and Client hereby acquiesce to the jurisdiction of the courts of the judicial district of Amsterdam. Both Audio Brothers and Client hereto have expressly requested that this Agreement and all ancillary documents be drafted in the English language.

Nothing in the present Agreement shall be interpreted as constituting or creating a joint venture or partnership between Audio Brothers and Client. This Agreement shall be to the benefit of and bind the respective heirs, executors, administrators and assigns of both Audio Brothers and Client hereto. If any part of this Agreement shall be determined to be invalid or unenforceable by a court of competent jurisdiction or any other legally constituted body having jurisdiction to make such determination, the remainder of this Agreement shall remain in full force and effect.

This document acknowledges that the license has been paid for and issued.
